Software subscription sales agreement

The agreement grants limited, non-transferable access to Eraslan Logistics Platform for the selected plan and period. Software ownership and source code are not transferred. Starter includes 5 office users, 1 branch and 14 licensed modules; Professional includes 15 users, 3 branches and 27 modules. Enterprise and custom capacity require a written quote.

The standard period is monthly. Annual periods require a separately accepted written quote. For Turkey sales, 20% VAT is added to the list prices below. TRY and USD are independent price lists, without automatic conversion. Applicable taxes and final totals for overseas customers are specified separately before payment; 20% is not automatically applied worldwide. The seller issues invoices using the buyer details supplied and applicable invoicing rules.

When enabled, card payment is a single charge through PayTR's hosted secure form. Foreign-issued cards are currently unavailable. Bank transfers require customer acceptance of a quote containing the final total and seller-verified account details. Test transactions are not real payments. The quote specifies who bears bank fees; short payments or incorrect currencies do not activate access automatically.

There is no automatic renewal or automatic card debit. Trials are not charged automatically. Renewal requires a new payment; without it, configured access restrictions apply after the paid period. Price changes do not alter an already paid period retrospectively; the applicable next-purchase or quote price is shown in advance.

Customers are responsible for account security, user permissions and the accuracy and lawful use of entered data. Unauthorized access to other companies, exceeding license limits and misuse are prohibited. Setup, training, data migration, custom development and third-party fees are outside the standard subscription and require a separate written scope. Banking, electronic invoicing, GPS and similar integrations require provider configuration.

These terms do not remove mandatory consumer protections, defective-service rights or mandatory protections under applicable national law. Business buyers and consumers may be subject to different mandatory rules. Rights to competent dispute bodies and, where applicable, consumer arbitration or courts within statutory limits are reserved.
